On our platform you will see two words used with deliberate precision: reservation and ownership. They are not synonyms, and the distance between them is where your protection lives.
What a reservation is
A reservation is a time-limited hold. When you confirm one, the platform reduces the project's available unit count by your quantity, assigns you a reservation reference, and starts a visible countdown. During that window nobody else can take your units.
Crucially, a reservation is not a share, a title, or a claim on the asset. It is a commitment: you agree to fund within the disclosed window, under the disclosed terms and the current document version. If you don't fund in time, the hold lapses and the units return to inventory. No ownership ever existed.
What creates ownership
Ownership arises from three things happening together:
- Cleared funds — your payment lands and is reconciled to your reservation reference. "Sent" is not enough; it must clear and match.
- Signed documents — the subscription agreement and risk acknowledgement for the exact document version you reviewed.
- Legal issuance — the project company records your holding in its register of members and issues your certificate.
Only at that point do you appear in the ownership register, receive monthly reports as a holder, and become eligible for distributions.
Why the line protects you
Blurring these two concepts is how investors get hurt in private markets. If a platform treated a reservation as ownership, it could show you "returns" on money that never arrived, or claim a project was "fully funded" on promises alone.
Our rule is simple and structural: inventory, payments and the register are three separate systems that must agree. Reservations reduce inventory. Payments reduce what you owe. The register records what you own. The admin dashboard flags any mismatch between them as a reconciliation break — because a break means something needs human eyes, immediately.
What this means for you, practically
- Reserve only what you are ready to fund — the timer is real.
- Always pay with your exact reference code; it's how your money finds your reservation.
- Check your register entry after closing. Your certificate reference is your proof of ownership.
Precision about these words isn't legal pedantry. It's the mechanism that keeps everyone's money — and everyone's expectations — exactly where they belong.
