The Document Room: Which Papers Matter Most

Every campaign comes with a document room — and most investors open only two or three files. Here's how to spend twenty focused minutes on the papers that actually protect your capital.

When a private investment opportunity is listed for shared ownership, the platform assembles a document room: the legal and financial paperwork behind the project. Some investors scroll past it. That is backwards. The document room is the one place where marketing stops and evidence starts. You don't need to read every page — but you need to know which papers matter and what to look for in each.

1. The offer document or investment memorandum

This is the project's story in its own words: the asset, the strategy, the expected economics, the risks. Read it first — but read it as a claim, not a fact. Check that the numbers in the memorandum match the numbers on the campaign page. Any discrepancy, however small, is worth asking about before you reserve.

2. The subscription agreement

This is the contract you actually sign. It defines your rights, the fees you pay, when you can exit, and what happens if the campaign doesn't fill. Look for:

  • Fee clauses — management fees, exit fees, performance fees, stated as amounts and percentages.
  • Minimum fill conditions — what happens to your money if the funding target isn't reached.
  • Exit terms — any lock-in period, transfer rules, and whether a secondary market exists.
  • Governing law and dispute resolution — which country's courts or arbitration apply.

3. Valuation and financials

For property and operating assets, look for an independent valuation report — who valued it, when, and what method they used. For operating businesses, look for recent financial statements or management accounts: revenue, costs, and cash — not just projections. Projections are guesses about the future; historicals are evidence about the operator.

4. Legal structure documents

Your investment sits inside a legal structure — often a special purpose vehicle (SPV). The documents should show you:

  • That the SPV exists and is registered.
  • How your holding is recorded — your certificate and the register entry.
  • Who the directors are and who controls the bank accounts.
  • How distributions flow from the asset to you — the "waterfall" order.

If the structure is unclear from the documents, treat that as a finding, not a detail.

5. The asset's own evidence

For a commercial property: the tenancy schedule and title or ownership documentation. For a yacht: registration papers, the operator agreement, and forward charter bookings. For a restaurant or business: the operating licence, lease of premises, and key supplier or franchise agreements. Whatever the asset, there should be independent proof that it exists and earns what is claimed.

6. Risk disclosures and the risk acknowledgement

Read the risk section properly — it's the only part of the room written by lawyers whose job is to tell you what can go wrong. If the risks feel mild and generic, that is itself information: either the project is genuinely simple, or the disclosure is thin. Compare it against the risks you've identified yourself.

A complete document room doesn't guarantee a good investment — but an incomplete one guarantees a bad information position. When a platform publishes the full set willingly, with versions numbered and updated, it's doing something important: it's letting you check its homework. Take the offer.
